• Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service.

• Otherwise attempt to interfere with the proper working of Service.

• These terms and conditions (“Terms”) shall be applicable to the use of BranchX India's co-branded Raja Rani Prepaid Cards (“Card”) having Visa and Rupay as Networks.
• Under the extant co-branding arrangement between LivQuik and branchX, category of primary issuance shall be Card PPIs, which shall be backed by Wallets. The expiry period for Card PPIs shall be 5 years or date of expiry, as mentioned on the card, whichever is applicable as per the programme, and the Wallets shall have a perpetual validity.
• The Card is issued subject to the applicable laws, regulations, and guidelines issued by RBI or any other statutory authority.
• The Card is intended for use as a Prepaid Payment Instrument (“PPI”) and can be used to make payments for goods, services, and other payments as permitted by RBI.
• The Cardholder shall use the Card in accordance with the terms and conditions and instructions issued by the PPI Issuer from time to time and shall be responsible for any misuse of the Card by himself/herself or third parties.
• The Cardholder shall be solely responsible for the safekeeping of the Card, its secrecy and security, and for any transactions made through the Card.
• The Cardholder shall promptly report any loss, theft or unauthorized use of the Card to the PPI Issuer.
• The Cardholder shall take all reasonable steps to ensure that the Card is used only for lawful purposes.
• The Cardholder shall be liable for all losses and damages incurred in connection with the Card.
• The Cardholder shall indemnify the PPI Issuer and BranchX India from any claims, actions, losses, damages, costs (including legal fees), or other liabilities arising from the use of the Card.
• The Cardholder shall not hold the PPI Issuer or BranchX India liable for any loss or damage incurred by the Cardholder due to reasons beyond their control.
• The PPI Issuer and BranchX India reserve the right to terminate the Card or suspend its use at any time without prior notice.
• The PPI Issuer and BranchX India shall not be liable for any losses or damages suffered by the Cardholder as a result of any failure or malfunction of the Card or any related systems or services.
• The PPI Issuer and BranchX India shall not be liable for any loss or damage incurred by the Cardholder due to reasons beyond their control.
• The PPI Issuer and BranchX India shall not be liable for any loss or damage incurred by the Cardholder due to any fraudulent or illegal use of the Card.
• The Cardholder shall be solely responsible for any taxes or fees that may be imposed on the Cardholder as a result of the use of the Card.
• The PPI Issuer and BranchX India reserve the right to change these Terms and Conditions at any time without prior notice.
• The Cardholder agrees to be bound by the Terms and Conditions of the Card and acknowledges that the PPI Issuer and BranchX India reserve the right to amend, modify, and/or supplement any of the Terms and Conditions at any time without prior notice.
• The PPI Issuer and BranchX India shall not be liable for any losses or damages suffered by the Cardholder as a result of any failure or malfunction of the Card or any related systems or services.
• The Cardholder shall be solely liable for any breach of the terms and conditions of the Card.
• In the event of any dispute, the decision of the PPI Issuer and BranchX India shall be final and binding on the Cardholder.
• The Cardholder hereby agrees to indemnify and hold the PPI Issuer and BranchX India harmless against all claims, damages, losses or expenses arising out of or in connection with the Card, use of the Card and/or any breach of the Terms and Conditions.

By submitting such payment information, you automatically authorize BranchX India Private Limited to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, BranchX India Private Limited reserves the right to terminate your access to the Service with immediate effect.

The terms shall put the account/cardholder under an obligation not to record the PIN or code, in any form that would be intelligible or otherwise accessible to any third party if access is gained to such a record, either honestly or dishonestly.

branchX will never ask you for your Passwords/PINs, in order to ensure that you are the only person who knows this information. When choosing your unique User ID and Password for the first time, do not create it using easily identifiable information such as your birthday, telephone number or a recognisable part of your name. The account/cardholder under an obligation to notify the bank immediately after becoming aware: - of the loss or theft or copying of the card or the means which enable it to be used; -of the recording on the cardholder’s account of any unauthorized transaction; and -of any error or other irregularity in the maintenance of that account by the bank.

If you think your User ID and/or Passwords/PINs have been disclosed to a third party, are lost or stolen and unauthorized transactions may have been conducted, you are responsible to inform us immediately at care@branchx.in.

All details, documents, data, applications, software, systems, papers, statements and business / customer information which is communicated in writing and is specifically marked “Confidential”, including any verbal indication that has been documented in writing and marked as “Confidential” by either of the Party to the other Party shall be treated as absolutely confidential and the Parties irrevocably agree and undertake to ensure that they shall keep the same as secret and confidential and that they shall not disclose the same, in whole or in part to any person without the prior written permission of the other Party nor shall use or allow to be used any information, other than as may be necessary for the due performance of their obligations hereunder.

The confidentiality obligations shall not apply to

• information in the public domain, or
• information that is received by a Party from a third person without breach of a confidentiality obligation by such third person, or
• disclosure of any information by a Party under any applicable law, rule, regulation or to a judicial, regulatory, quasi judicial, administrative or governmental body or authority;
• Is not in writing and specifically marked as "Confidential".

The Parties agree to:

• Take all necessary action to protect the confidential information against misuse, loss, destruction, deletion and/or alteration
• Not to misuse or permit misuse directly or indirectly, commercially exploit the confidential information for economic or other benefit
• Not to make or retain any copies or record of any confidential information submitted by either of the Party other than as may be required for the performance of the obligations under applicable terms and conditions
• Notify the other Party promptly of any unauthorized or improper use or disclosure of the confidential information
• Promptly return all the confidential documents / material that is in the custody of the other Party upon termination/expiry the arrangement

The User shall indemnify and hold BranchX, its subsidiaries, affiliates, promoters, directors, employees, contractors, licensors and any other related or third parties involved with BranchX in any manner whatsoever, harmless from and against all losses arising from claims, demands, actions or other proceedings as a result of:

• The consequences (including but not limited to legal liability, claims, contest and expenses) of any loss or damage caused or delay suffered by a Cardholder or a third party due to negligence or willful misconduct of any Party will be borne by the defaulting Party.
• The customer shall be liable for the loss occurring due to unauthorised transactions in cases where the loss is due to negligence by a customer, such as where he has shared the payment credentials, the customer will bear the entire loss until he reports the unauthorised transaction to the bank. Any loss occurring after the reporting of the unauthorised transaction shall be borne by the bank.
• Fraud, negligence and willful misconduct by the User in the use of the Services;
• Violation of applicable laws in the use of the Services and/ or in the conduct of the business of the User, including but not limited to the legal provisions mentioned under paragraphs 6 and 7 hereinabove;
• Breach of the User's confidentiality obligations under these Terms of Use;
• Disputes raised by a User's customer in relation to a transaction where such dispute is not attributable to the Services;
• Penalties, fines, charges, or any other actions as a result of breach or violation of any the User's representations and warranties; and
• Fines, penalties and charges imposed by the Acquiring Bank, Card Payment Networks or any Governmental Authority on account of transactions on the User's website or platform that are in violation of applicable law.
• The provisions of this section shall survive the termination of the arrangement.

No waiver by Company of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Company to assert a right or provision under Terms shall not constitute a waiver of such right or provision.

If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.

BranchX shall not be in breach of its obligation hereunder if it is delayed in the performance of, or is unable to perform (whether partially or fully) its obligations (provide the Services) as a result of the occurrence of a Force Majeure Event (defined below).

Force Majeure Event means any event, whatever be the origin, not within the reasonable control of BranchX, which BranchX is unable to prevent, avoid or remove or circumvent by the use of reasonable diligence. Force Majeure event shall include, but shall not be limited to, acts of god, acts, orders, directions of governmental/ regulatory/ judicial/ quasi-judicial/ law enforcement authorities/ agencies which hinders BranchX from performing its obligations under any agreement, including these Terms of Use, with you, war, hostilities, invasion, armed conflict, act of foreign enemy, embargoes, riot, insurrection, labour stoppages, outages and downtimes systems failures experienced by a facility provider, revolution or usurped power, acts of terrorism, sabotage, nuclear explosion, earthquake, pandemic, epidemic, hacking or man in the middle attack or similar attacks/ intrusions, fires, typhoons, storms and other natural catastrophes.

Any payment obligations of BranchX, in case of a Force Majeure event, shall be limited by and be subject to the fulfillment of the payment obligations of the partners banks/ financial institutions, counterparties and any other parties involved in or intrinsically linked to the provision of the Services of BranchX.

EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD US AND OUR OFFICERS, DIRECTORS, EMPLOYEES HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS’ FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT AND ANY VIOLATION BY YOU OF ANY FEDERAL, STATE, OR LOCAL LAWS, STATUTES, RULES, OR REGULATIONS, EVEN IF COMPANY HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. branchX will make best efforts to provide important alerts via SMS/email/push notifications and it shall be deemed that you have received the information sent from branchX as an alert on the mobile phone number or e-mail id provided during the course of, or in relation to, using the branchX Platform or availing any branchX Services. branchX shall not be under any obligation to confirm the authenticity of the person(s) receiving the alert. You cannot hold branchX liable for non-availability of the SMS/email alert/push notifications service in any manner whatsoever.

The SMS/e-mail alert/push notification service provided by branchX is an additional facility provided for your convenience and that it may be susceptible to error, omission and/or inaccuracy. In the event that you observe any error in the information provided in the alert, branchX shall be immediately informed. branchX will make best possible efforts to rectify the error as early as possible. You shall not hold branchX liable for any loss, damages, claim, expense including legal cost that may be incurred/suffered by You on account of the SMS/e-mail alert/push notification facility.

The clarity, readability, accuracy and promptness of providing the SMS/e-mail alert/push notification service depend on many factors including the infrastructure and connectivity of the service provider. branchX shall not be responsible for any non-delivery, delayed delivery or distortion of the alert in any way whatsoever.

You will indemnify and hold branchX harmless and the SMS/e-mail service provider including its officials from any damages, claims, demands, proceedings, losses, costs, charges and expenses whatsoever including legal charges and attorney’s fees which branchX of the SMS/e-mail service provider may at any time incur, sustain, suffer or be subjected to as a consequence of, or arising out of, any of the following: (i) misuse by You or improper or fraudulent information provided by You; (ii) incorrect number or a number that belongs to an unrelated third party provided by You.
